Member-Bridge Terms of Service

Welcome to Member-Bridge. These Terms of Service (the "Terms") govern your use of the Member-Bridge platform, available at https://member-bridge.com (and also at memberbridge.io), operated by Crushlinx Media Ltd. ("Member-Bridge", "we", "us", or "our"). Member-Bridge is a platform where content creators sell paid membership access to their own private communities on Discord, Telegram, or Instagram. Please read these Terms carefully before using the service.
1. Acceptance and Eligibility
By creating an account, making a purchase, listing a Club, or otherwise using Member-Bridge, you agree to be bound by these Terms. If you do not agree, do not use the service.
You must be at least 18 years old to use Member-Bridge, whether as a Member or a Publisher. By using the service, you represent that you are 18 or older and legally able to enter into a binding contract. If you use the service on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms.
2. Definitions
- "Publisher" means a content creator who uses Member-Bridge to sell paid membership access to a private community they own or operate.
- "Member" means a person who purchases membership access to a Publisher's community through Member-Bridge.
- "Club" means a Publisher's listing on Member-Bridge, including its description, pricing, and fulfillment promise, through which Members purchase access to the Publisher's community on Discord (a server), Telegram (a channel or group), or Instagram (a Close Friends list).
- "Community" means the Publisher's private space on the destination platform (Discord, Telegram, or Instagram) to which a Club grants access.
3. What Member-Bridge Is (and Is Not)
Member-Bridge provides payment and membership-management infrastructure that connects Publishers and Members. The communities themselves live on Discord, Telegram, or Instagram — not on Member-Bridge.
Member-Bridge does not host, store, or moderate the content inside Publishers' communities. Publishers are solely responsible for their communities and the content in them. Any purchase you make is for access granted by the Publisher, subject to these Terms.
4. Account Registration and Your Social Handle
To purchase access to a Club, a Member creates an account on the Club's page by providing an email address and the social handle (for example, a Discord username, Telegram handle, or Instagram handle) that should receive access.
You are responsible for the accuracy of the information you provide. In particular:
- The social handle you enter must be correct, must belong to you, and must be on the platform the Club uses. The Publisher grants access to the handle you provide — if it is wrong, access may be delayed, granted to the wrong account, or impossible to grant.
- You must keep your email address current so we and the Publisher can reach you about your membership.
- You are responsible for activity that occurs under your account and for keeping your login credentials secure.
If your handle changes, contact us promptly at [email protected] so your access can be updated. We are not responsible for access problems caused by an inaccurate or outdated handle.
5. How Purchases Work
All payments on Member-Bridge are processed by Stripe. Member-Bridge, operated by Crushlinx Media Ltd., acts as the merchant of record for purchases made on the platform. Your card details are handled by Stripe and never touch Member-Bridge servers.
Pricing for each Club is set by the Publisher and may take one or both of the following forms:
- a recurring subscription (for example, billed monthly); and/or
- a one-time payment, which may optionally be time-limited (for example, 90 days of access).
The price, billing frequency, and any access duration are displayed on the Club page before you pay. By completing a purchase, you authorize the charge shown at checkout.
6. Subscriptions and Renewals
If you purchase a recurring subscription, it renews automatically at the interval shown on the Club page (for example, monthly) and your payment method is charged at each renewal until you cancel.
You can cancel your subscription at any time from your member panel. Cancellation takes effect at the end of the current billing period: you keep access until then, and you will not be charged again. When your subscription lapses or is canceled and the current period ends, your access to the community ends and the Publisher removes you from it.
7. One-Time Passes
If you purchase one-time access, you pay once and receive access for the period stated on the Club page (or indefinitely, if no time limit is stated). If the pass is time-limited, your access ends when the stated period expires, and the Publisher removes you from the community at that point. One-time passes do not renew automatically.
8. Manual Fulfillment, Promise Window, and Refunds
Access to a community is granted manually by the Publisher. Member-Bridge does not automatically add Members to communities at this time.
Each Club displays a fulfillment promise window — the time within which the Publisher commits to granting access after purchase (for example, "added within 24 hours").
If a Publisher fails to grant you access within a reasonable time, you are entitled to a full refund. If you have not received access within the promised window, contact us at [email protected] and we will help resolve the issue or process your refund.
9. Ending of Access and Removal
Access to a community ends, and the Publisher removes the Member from it, when any of the following happens:
- a subscription is canceled or lapses and the current billing period ends;
- a time-limited one-time pass expires; or
- a payment is refunded.
10. Publisher Obligations
If you are a Publisher, you agree to:
- grant access to each paying Member within the fulfillment promise window displayed on your Club page;
- remove Members from your community promptly when their access ends under Section 9;
- describe your Club accurately, including what the community offers, its pricing, and your fulfillment promise, and keep that description up to date;
- ensure your community and its content comply with these Terms, including the prohibited-content rules in Section 12;
- comply with the terms of service of the destination platform (Discord, Telegram, or Instagram) on which your community operates; and
- own or control the community you are selling access to, and hold all rights needed to offer that access.
11. Member Obligations
If you are a Member, you agree to:
- provide a correct social handle that belongs to you, and keep it up to date;
- not abuse chargebacks — contact the Publisher or [email protected] to resolve problems before disputing a charge with your bank, and do not file chargebacks for purchases you received and used;
- comply with the terms of service and community rules of the platform hosting the community (Discord, Telegram, or Instagram); and
- not share, resell, or transfer your access, and not help others gain access to a community without paying.
12. Prohibited Content and Activities
The following may not be sold, promoted, or offered through Member-Bridge, whether in a Club listing or inside the community it grants access to:
- anything illegal;
- sexually explicit or adult content;
- content that infringes intellectual-property rights;
- hate or violent extremism;
- the sale of weapons, drugs, or counterfeit goods;
- gambling;
- financial-advice scams or claims of guaranteed returns; and
- anything that violates Stripe's Restricted Businesses list or the terms of service of the destination platform (Discord, Telegram, or Instagram).
In addition, no user may interfere with the operation or security of the service, misrepresent their identity, attempt to circumvent payments, or use the service to defraud Publishers, Members, or Member-Bridge. We may remove any Club and suspend or terminate any account that we reasonably believe violates this section.
13. Relationship to Discord, Telegram, and Instagram
Member-Bridge is not affiliated with, endorsed by, or sponsored by Discord, Telegram, or Instagram. Those names are trademarks of their respective owners.
Your use of any community is also governed by the terms of service, community guidelines, and policies of the platform that hosts it. Those platforms may change their features or policies, or take action against accounts and communities, in ways outside our control. Member-Bridge is not responsible for actions taken by these platforms, including removal of a community or restriction of an account.
14. Payments, Taxes, and Publisher Payouts
As merchant of record, Member-Bridge (operated by Crushlinx Media Ltd.) collects payment from Members through Stripe and is responsible for the payment transaction.
Publishers join Member-Bridge by invitation only. By becoming a Publisher, you agree to a revenue-share arrangement under which Member-Bridge retains a share of each sale and pays out the remainder to you. Payouts are made by Member-Bridge in accordance with the payout terms communicated to you.
Each party is responsible for its own taxes. Publishers are responsible for reporting and paying any taxes due on their payout income. Members are responsible for any taxes applicable to their purchases that we are not required to collect.
15. Termination and Suspension
You may stop using Member-Bridge at any time. Members may cancel subscriptions as described in Section 6.
We may suspend or terminate your account, remove a Club, or withhold Publisher payouts connected to violations if we reasonably believe you have breached these Terms — including the prohibited-content rules, chargeback abuse, or a Publisher's failure to fulfill purchases. Where practical, we will notify you and give you a chance to remedy the issue before termination, but we may act immediately where the violation is serious or the law requires it.
If we terminate a Publisher's account, the Publisher remains obligated to honor or refund outstanding Member purchases. Sections of these Terms that by their nature should survive termination (including Sections 16 through 19 and Section 22) survive it.
16. Disclaimers of Warranty
Member-Bridge is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
In particular, we do not warrant that the service will be uninterrupted or error-free, and we make no promises about the content, quality, or value of any Publisher's community. Communities are created and run by Publishers; Member-Bridge does not host, store, or moderate their content and does not endorse any Club.
17. Limitation of Liability
To the fullest extent permitted by law, Crushlinx Media Ltd. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the service — even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the service or these Terms will not exceed the amounts you paid to Member-Bridge (or, for Publishers, the fees we retained from your sales) in the twelve months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
18. Indemnification
You agree to indemnify and hold harmless Crushlinx Media Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected to: (a) your breach of these Terms; (b) your content or community, if you are a Publisher; (c) your violation of any law or of the rights of a third party; or (d) your violation of the terms of Stripe, Discord, Telegram, or Instagram in connection with your use of the service.
19. Intellectual Property
The Member-Bridge platform — including its software, design, text, and branding — is owned by Crushlinx Media Ltd. or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service as permitted by these Terms. You may not copy, modify, or create derivative works of the platform, or use the Member-Bridge name or logo, without our prior written permission.
The content inside Publishers' communities belongs to the Publishers or their licensors. Member-Bridge does not host that content and claims no ownership of it.
20. Privacy
To operate the service, we process personal information such as your email address and the social handle you provide to receive access. How we collect, use, and protect that information is described in our Privacy Policy, available on our site. By using the service, you acknowledge that your information will be handled as described there.
21. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will give you reasonable advance notice — for example, by email or by a notice on the site — before the changes take effect. The "Effective date" at the top of this page shows when the current version took effect. If you continue to use the service after updated Terms take effect, you accept them. If you do not agree to the updated Terms, stop using the service and, if applicable, cancel your subscriptions.
22. Governing Law and Venue
These Terms are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the service will be brought exclusively in the courts of Nicosia, Cyprus, and you consent to the jurisdiction of those courts. Nothing in this section deprives you of any mandatory consumer protections available under the laws of the place where you live.
23. General
These Terms are the entire agreement between you and Crushlinx Media Ltd. regarding the service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
